Terms of service for WinCo Accountants Ltd

1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by WinCo Accountants Ltd ("we", "us", "our", or "the Company"). By engaging our services, you agree to be bound by these Terms.

4. Client Responsibilities

As our client, you agree to:

  • Provide complete, accurate, and timely information and documentation
  • Respond promptly to our requests for information
  • Inform us immediately of any changes to your circumstances
  • Review and approve documents before submission
  • Maintain proper business records
  • Pay fees in accordance with agreed terms
  • Comply with all relevant laws and regulations

5. Our Responsibilities

We will:

  • Provide services with reasonable skill and care
  • Act in accordance with professional standards
  • Maintain professional indemnity insurance
  • Keep your information confidential (subject to legal obligations)
  • Notify you of any conflicts of interest
  • Communicate clearly about fees and services

6. Fees and Payment

6.1 Fee Structure

Our fees are based on the time spent, complexity of work, and value provided. Fees will be agreed in advance and may be structured as:

  • Fixed fees for specific services
  • Hourly rates for ad-hoc work
  • Monthly retainers for ongoing services

6.2 Payment Terms

  • Invoices are payable within 14 days of receipt unless otherwise agreed
  • We reserve the right to charge interest on overdue amounts at 4% above Bank of England base rate
  • We may suspend services if payment is not received
  • Additional work outside the agreed scope will be charged separately

6.3 Disbursements

Any disbursements (Companies House fees, HMRC penalties, etc.) will be charged in addition to our fees.

7. Confidentiality

We will keep your affairs confidential except where:

  • Required by law or regulation
  • We have your permission to disclose
  • We need to enforce our rights
  • Required by professional standards

8. Data Protection

We process personal data in accordance with GDPR and UK data protection law. Please refer to our Privacy Policy for details on how we handle your personal information.

9. Limitation of Liability

9.1 Scope of Services

Our services are provided based on the information you provide. We are not responsible for losses arising from incomplete, inaccurate, or late information.

9.2 Professional Indemnity

We maintain professional indemnity insurance. Our total liability for any claim is limited to the amount recoverable under our insurance policy or £2 million, whichever is lower.

9.3 Exclusions

We are not liable for:

  • Consequential or indirect losses
  • Loss of profits, business, or opportunity
  • Third-party claims (unless specifically agreed)
  • Acts or omissions of HMRC or other authorities
  • Losses arising from circumstances beyond our reasonable control

10. Money Laundering

We are required to comply with anti-money laundering regulations. We will:

  • Verify your identity before providing services
  • Report suspicious activity to the relevant authorities
  • Not inform you if we make a report
  • Maintain records of identification checks

11. Complaints

If you have a complaint about our services, please contact us in writing. We will:

  • Acknowledge your complaint within 3 working days
  • Investigate and respond within 28 days
  • Work to resolve the matter to your satisfaction

If we cannot resolve your complaint, you may refer the matter to the Institute of Chartered Accountants in England and Wales (ICAEW) if we are members, or seek independent legal advice.

12. Termination

12.1 By Client

You may terminate our engagement by giving 30 days' written notice. You will be responsible for fees for work completed up to the termination date.

12.2 By Us

We may terminate our engagement if:

  • Fees remain unpaid after reasonable notice
  • You fail to provide necessary information
  • We identify a conflict of interest
  • We are required to do so by law or professional obligations
  • We give 30 days' written notice

12.3 After Termination

Upon termination, we will provide your records and documents. We may retain copies as required by law or professional standards.

13. Intellectual Property

All advice, documents, and materials we create remain our intellectual property. You have a non-exclusive license to use them for their intended purpose.

14. Third-Party Software

If we provide access to third-party software (accounting packages, portals), you must comply with their terms and conditions. We are not responsible for third-party software performance or availability.

15. Communication

We may communicate with you by email, phone, post, or secure portal. You accept that email is not completely secure and agree to this method of communication. We are not responsible for emails intercepted or misdirected.

16. Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, pandemic, government action, or technical failures.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use of our services after changes constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

19. Entire Agreement

These Terms, together with any engagement letter and our Privacy Policy, constitute the entire agreement between us and supersede any previous agreements or understandings.
